Introduction
Thanks for using the Woztell service! Please read these Woztell terms of service (“Terms of Service”) carefully.
These Terms will be applied fully and affect to your use of Woztell.
The creator of Woztell is WOZTELL SANUKER, S.L. (headquarters: Atocha Station Building | 20, Méndez Álvaro Street | Madrid 28045, Spain, VAT number: B88356787) and its subcontractors and partners (hereinafter: WOZTELL).
This is an agreement between the entity that you represent (hereinafter “you” or “your”) and the creator of the Woztell WOZTELL governing your use of Woztell service.
By using Woztell service, you agreed to accept all terms and conditions written in here. You must not use Woztell service if you disagree with any of these Terms and Conditions.
Usage
By using the Woztell service you agree to the payment terms and agree to pay the price of the Woztell. It is your responsibility to use the Woztell in compliance with the local law, may the Woztell is not as strict as the local law of tax. WOZTELL assumes no responsibility for any damages resulting from the use of Woztell’s service. To avoid any problems, please check with the test account if it is working properly. WOZTELL does everything it can to the right operation. Woztell service connects Zoho with third-party applications, WOZTELL assumes no responsibility for the availability and proper functioning of these services. WOZTELL does not guarantee that all features of the application will be accessible by Woztell.
Intellectual Property Rights
Other than the content you own, under these Terms, WOZTELL and/or its licensors own all the intellectual property rights and materials contained in Woztell service.
You are granted limited license only for purposes of using the material contained on Woztell service.
Restrictions
You are specifically restricted from all of the following:
- publishing any Woztell material in any other media;
- selling, sublicensing, and/or otherwise commercializing any Woztell material;
- publicly performing and/or showing any Woztell material;
- using Woztell service in any way that is or may be damaging to Woztell service;
- using Woztell service in any way that impacts user access to Woztell service;
- using Woztell service contrary to applicable laws and regulations, or in any way may cause harm to the Woztell, or to any person or business entity;
- using Woztell service to engage in any advertising or marketing.
Certain areas of Woztell service are restricted from being access by you and WOZTELL may further restrict access by you to any areas of Woztell service, at any time, at absolute discretion. Any user ID, password, and Authtoken you may have for the Woztell service are confidential and you must maintain confidentiality as well.
Your Content
In these Woztell Standard Terms and Conditions, “Your Content” shall mean any audio, video, text, images, or other material you choose to add to the Woztell service. By transferring Your Content, you grant WOZTELL a non-exclusive, worldwide irrevocable, sub-licensable license to use, reproduce, adapt, publish, translate and distribute it for your benefit.
Your Content must be your own and must not be invading any third-party’s rights. WOZTELL reserves the right to restrict access at any time.
No warranties
Woztell service is provided “as is,” with all faults, and WOZTELL expresses no representations or warranties, of any kind related to Woztell service or the materials produced or distributed by Woztell service. Also, nothing contained on Woztell service shall be interpreted as advising you.
Limitation of liability
In no event shall WOZTELL, nor any of its officers, directors, and employees shall be held liable for anything arising out of or in any way connected with your use of Woztell service whether such liability is under contract. WOZTELL, including its officers, directors, and employees shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of Woztell service.
Indemnification
You hereby indemnify to the fullest extent WOZTELL from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.
Severability
If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
Variation of Terms
WOZTELL is permitted to revise these Terms at any time as it sees fit, and by using the Woztell service you are expected to review these Terms on a regular basis.
Assignment
WOZTELL is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
Entire Agreement
These Terms constitute the entire agreement between WOZTELL and you in relation to your use of Woztell service and supersede all prior agreements and understandings.
Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of Spain, and you submit to the non-exclusive jurisdiction of the state courts located in Spain for the resolution of any disputes.
